Who these terms apply to, when they take effect, and how we may amend them.

These Terms and Conditions ("Terms") govern your access to and use of the website, trading facilities, and shipment and logistics services provided by GoldSpark Mines Ltd ("we", "our", or "the Company"). By accessing our website, submitting an inquiry, placing an order, or otherwise engaging with us, you confirm that you have read, understood, and agreed to be bound by these Terms.

GoldSpark Mines Ltd is a company incorporated in the Republic of Ghana, registered under a certificate of incorporation and a certificate to commence business, and licensed within the GoldBod gold-trading ecosystem established under the Ghana Gold Board Act, 2025 (Act 1140). These Terms apply to all visitors, prospective clients, existing clients, and commercial partners worldwide.

By using our services, you confirm that

  • You are at least 18 years of age and legally competent to enter into binding contracts.
  • You are acting on your own behalf or are duly authorised to represent the entity on whose behalf you engage with us.
  • You will comply with all applicable laws in your own jurisdiction and in the Republic of Ghana.
  • You will not use our website or services for any unlawful, fraudulent, or anti-competitive purpose.

Amendments

We may amend these Terms from time to time to reflect changes in law, regulation, or our commercial practice. The date at the top of this page reflects the most recent revision. Continued use of our website or services after an amendment constitutes acceptance of the revised Terms.

02

Services

The scope of the services we provide, what is included, and what is excluded.

GoldSpark Mines Ltd provides an integrated suite of gold services spanning extraction, refining, trading, shipment and logistics, consulting, and investment advisory. The precise scope of any engagement is defined in the written quotation, proposal, or commercial agreement issued to you by our team.

Core services

  • Gold mining: responsible extraction from licensed concessions in the Obuasi Municipal District of the Ashanti Region.
  • Gold refining: processing of raw ore and doré into certified 99.9 percent pure gold bullion.
  • Gold trading: purchase, sale, and settlement of gold against internationally recognised spot references.
  • Shipment and logistics: insured, fully tracked, and customs-cleared delivery of physical gold to vaults and refineries worldwide.
  • Consulting: regulatory, operational, and supply-chain advisory for refiners, banks, and institutional counterparties.
  • Investment advisory: portfolio strategies and gold-backed opportunities for qualified counterparties.

We reserve the right to modify, suspend, or discontinue any service at any time without liability, provided that we will honour all confirmed orders and active consignments under the terms on which they were accepted.

Verification required

All engagements are subject to completion of our Know Your Customer (KYC) and anti-money laundering (AML) procedures. We may decline to provide services to any person or entity where our compliance checks are not satisfied.

03

Payments and Pricing

How prices are set, how payments are processed, and the rules governing settlement.

All prices are quoted in the currency indicated on the invoice or commercial agreement. Unless otherwise stated, quoted prices are valid for the period specified in the quotation, after which they may be revised to reflect changes in the spot price of gold, freight rates, insurance premiums, or applicable taxes.

Payment terms

  • Payment must be made by bank transfer to the account specified on the invoice, or through another payment method we expressly approve in writing.
  • For trading transactions, we may require a deposit, escrow arrangement, or confirmed letter of credit before shipment is dispatched.
  • All bank charges, currency conversion costs, and intermediary fees are the responsibility of the payer unless otherwise agreed in writing.
  • Invoices are due on the date stated on the invoice. Late payments may attract interest at a rate specified in the invoice or, if not specified, at the prevailing commercial rate in Ghana.

Currency and taxes

  • Prices are exclusive of any value added tax, withholding tax, export duty, or other tax that may apply in your jurisdiction.
  • Clients are responsible for any tax obligation arising from their purchase or import of gold under the laws of their own country.
  • Where GoldSpark Mines Ltd is required by Ghanaian law to withhold or remit tax, the amount will be shown separately on the invoice.

Escrowed settlement

For institutional transactions above an agreed threshold, we may require settlement through an escrowed banking channel. Funds are released only when the consignment has cleared customs and been handed over at the destination vault.

04

Shipping and Delivery

The rules governing dispatch, transit, customs, insurance, and handover of consignments.

Physical gold is shipped under strict security protocols using vetted courier partners and, where required, armored transport. Every consignment is insured for its declared value and tracked end to end. Dispatch is subject to availability, export licensing, and customs clearance in Ghana.

Shipping terms

  • Every consignment is sealed into tamper-evident cases under dual custody and photographed with a unique seal reference before dispatch.
  • Shipment is dispatched only after receipt of cleared funds, confirmation of the recipient entity, and completion of any applicable customs or export documentation.
  • Estimated delivery windows are provided in good faith but are not guaranteed. Delays caused by customs, courier operations, weather, or events outside our reasonable control do not constitute a breach of these Terms.
  • The client is responsible for confirming that the destination country permits the import of gold and for providing accurate receiving entity details.

Risk and title

  • Title to the gold passes to the client on receipt of cleared funds, unless otherwise agreed in writing.
  • Risk of loss or damage passes to the client on signature of the delivery receipt at the destination, except where the loss or damage arises from our gross negligence or wilful misconduct.
  • Any discrepancy in weight, purity, or quantity must be reported to our logistics desk within 24 hours of delivery, together with the signed delivery note and supporting photographs.

Insurance coverage

Base coverage insures the consignment for its declared value end to end with our specialist underwriter partners. Higher-value consignments can be quoted for extended coverage on request. Coverage details are set out in the certificate of insurance issued at dispatch.

05

Limitation of Liability

The limits of our liability, and the categories of loss we do not cover.

To the fullest extent permitted by law, GoldSpark Mines Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our website or services, including but not limited to loss of profit, loss of business, loss of opportunity, or loss of data.

Aggregate liability

  • Our aggregate liability arising out of or in connection with any single transaction shall not exceed the invoiced value of that transaction, unless otherwise agreed in writing.
  • Where the loss relates to a shipped consignment, our liability shall not exceed the insured value of that consignment as stated in the certificate of insurance.
  • We are not liable for any loss arising from a delay in transit, customs detention, or any event beyond our reasonable control, including force majeure events such as war, civil unrest, pandemics, or natural disasters.

Exclusions

  • We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.
  • We do not warrant the accuracy of any market commentary, price indicator, or third-party data displayed on the website.
  • Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death, or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded.
06

Dispute Resolution

How disputes are raised, escalated, and resolved, and the governing law that applies.

We are committed to resolving disputes amicably and efficiently. If a dispute arises out of or in connection with these Terms or any transaction with us, the parties agree to follow the escalation procedure set out below before pursuing formal proceedings.

Escalation procedure

  • Step 1 — Written notice: The party raising the dispute must send a written notice to the other party setting out the nature of the dispute and the outcome sought.
  • Step 2 — Good faith negotiation: Both parties agree to negotiate in good faith for a period of at least 30 days from receipt of the notice.
  • Step 3 — Mediation: If negotiation does not resolve the dispute, the parties agree to refer the matter to mediation before a mutually agreed mediator in Accra, Ghana.
  • Step 4 — Arbitration: If mediation fails, the dispute shall be finally resolved by binding arbitration in Accra under the rules of the Ghana Arbitration Centre, in the English language, before a single arbitrator.

Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Subject to the escalation procedure above, the courts of Ghana shall have exclusive jurisdiction over any matter not referred to arbitration.

07

When and how either party may terminate the relationship, and what survives termination.

Either party may terminate these Terms or any commercial agreement between the parties by giving written notice to the other party, subject to the terms set out below and any transaction-specific provisions agreed in writing.

  • Immediately, if we commit a material breach of these Terms and fail to remedy that breach within 30 days of receiving written notice from you.

Survival

  • Provisions relating to payment, confidentiality, intellectual property, limitation of liability, dispute resolution, and governing law survive termination.
  • Any consignment already dispatched will be completed in accordance with the terms under which it was accepted.

Following termination, we retain commercial and compliance records for the minimum period required by Ghanaian law. Retained records are handled in accordance with our Privacy Policy.
